TERMS AND CONDITIONS OF USE
Karynn Elizabeth | Coaching and Education
These Terms and Conditions of Use (“Terms”) govern coaching and educational services provided by Karynn Elizabeth Collins, an individual operating professionally as Karynn Elizabeth (“Provider”), through karynnelizabeth.com and associated platforms. “Client” means an adult purchaser or participant, or a minor participant admitted under Section 1. “Guardian” means the minor’s parent or legally authorized guardian. “Program” means the purchased or free service described below.
IMPORTANT: COACHING IS NOT THERAPY. The Provider is a certified life coach and is not a licensed therapist. No psychotherapy, mental health diagnosis, clinical treatment, or other therapy is performed. Coaching does not replace therapy. It may serve as a companion or supplement to therapy; appropriate therapeutic support may strengthen the Client’s coaching experience, but no result is guaranteed. Clients must understand the distinction and obtain licensed professional care when needed. The Provider may decline, pause, or discontinue coaching when therapy is considered necessary before or alongside coaching.
These Terms must be presented before purchase or enrollment. An adult Client’s electronic acceptance, or participation after clear advance notice and a legally sufficient opportunity to accept, establishes agreement to these Terms to the extent permitted by law. Additional express consent must be obtained wherever required for recording, commercial use of a person’s identity, sensitive information, or other regulated activities. Mere attendance does not waive mandatory consent requirements. For minors, Section 1 applies. Persons who do not agree must not purchase, enroll, or participate.
1. THE PROGRAM; ELIGIBILITY AND MINOR PARTICIPANTS
1.1 Scope. These Terms cover coaching and education only, including private and group coaching, text coaching, online courses, memberships, certification education, books, journals, worksheets, downloadable resources, masterclasses, workshops, intensives, retreats, podcasts, free sessions, forums, and future versions or iterations. Photography services are excluded. Covered offerings may include A Place Called Home Foundations, Monday Money Tree, Weight Love, Joy and Money, Body of Work and Body of Work Worthshop, 100K Workshop, humAIn, Sold Out In-Demand and Sold Out In-Demand Lab, Better Now, Coach Hive, Karynn C VIP, and Small Town Sales Coach. Listing an offering does not promise that it is currently available or included in another purchase.
1.2 Purchase-specific services. The checkout description, enrollment confirmation, and any expressly agreed written service terms identify the purchased services, duration, session count, delivery method, fees, and access. The Client receives only what is expressly included. Enrollment in one offering does not include every other offering, certification, individual session, or future separate product.
1.3 Adults. Adult purchasers must have the legal capacity to contract in their jurisdiction and provide accurate information. Where local law treats a participant aged eighteen or older as a minor, the applicable Guardian requirements also apply.
1.4 Ages fourteen through seventeen. The minimum participation age is fourteen. Admission requires the Provider’s approval following a consultation, verified Guardian consent, and review and signature of these Terms and applicable consent forms by both the minor and Guardian. Electronic signatures may be used where lawful. The Guardian must make the purchase and is the contracting purchaser responsible for payment and lawful authorization. A minor’s signature acknowledges understanding and participation; it does not waive rights that cannot lawfully be waived by a minor. Persons under fourteen may not enroll or submit coaching information.
1.5 Guardian responsibilities and teen confidentiality. The Guardian must accurately identify the minor’s age, establish authority to consent, provide appropriate contact information, and cooperate with safety arrangements. Teen session content is confidential and is not routinely disclosed to the Guardian solely because the Guardian purchased the service. Disclosure may occur with appropriate permission, when reasonably necessary to address a serious safety concern, in response to valid legal process, or as otherwise required by law. Any legally enforceable Guardian or minor access rights remain intact. Recording, media, and sensitive-data consent for minors requires appropriate minor and Guardian authorization. The Provider may decline an arrangement that cannot protect the teen’s privacy or meet legal requirements.
1.6 Admission. Acceptance and continuation of Clients are at the Provider’s discretion, exercised consistently with applicable law. Payment does not override eligibility, safety, consultation, or consent requirements. If the Provider declines an application after collecting payment and supplies no purchased service, any required reimbursement or other remedy will be provided; a discretionary refusal does not eliminate mandatory consumer rights.
2. PAYMENT; INSTALLMENTS AND FUTURE SUBSCRIPTIONS
2.1 Online purchases. All purchases are completed online. Current long-term programs and one-time purchases are payable upfront unless a different arrangement is expressly agreed in writing. Prices, currency, applicable taxes, and payment timing are disclosed at checkout. Available payment providers may include Stripe, PayPal, Venmo, and Cash App; only methods actually offered for the transaction are available. Payment providers apply their own terms and privacy practices.
2.2 Payment authorization. The purchaser authorizes only the charges disclosed and affirmatively accepted for the purchase. Payment information may be transmitted to the selected payment provider as necessary to process the transaction. Acceptance of these Terms does not authorize undisclosed charges or enroll a one-time purchaser in a subscription.
2.3 Installment plans. If an installment plan is offered for a fixed-price Program, it divides an agreed purchase price into payments; it is not a month-to-month subscription. Voluntary withdrawal, nonattendance, or failure to use materials does not cancel the remaining balance, except where required by law or expressly agreed in writing. Any effect of Provider termination is addressed in Section 11.
2.4 Nonpayment. Overdue payment may result in suspension of access. The Provider may pursue lawful collection of valid debts and reasonable collection costs recoverable under the agreement and applicable law. No unauthorized penalty, accelerated charge, or collection fee is imposed by these Terms.
2.5 Future recurring subscriptions. No subscription exists unless expressly offered and selected at checkout. Before enrollment, the Provider will disclose the recurring price, billing interval, renewal terms, included services, and cancellation method, and obtain required affirmative consent. A month-to-month subscription may be canceled at any time through the stated cancellation method or by written notice to karynnelizabeth@gmail.com. Cancellation received before the next renewal charge takes effect at the next payment due date, prevents subsequent renewal charges, and ordinarily leaves access available through the paid period. Amounts already paid are not refunded or prorated except where required by law. Mandatory notices, consent, cancellation rights, and consumer protections control. A new subscription or material billing change is not imposed solely by updating these Terms.
3. REFUNDS; BILLING DISPUTES AND MANDATORY RIGHTS
3.1 All sales final. ALL SALES ARE FINAL. NO REFUNDS ARE PROVIDED EXCEPT WHERE REQUIRED BY APPLICABLE LAW or where the Provider elects a remedy under Section 11. There is no money-back guarantee. Change of mind, lack of participation, failure to complete a Program, dissatisfaction with personal results, or disagreement with lawful moderation or bonus eligibility does not independently create a refund entitlement.
3.2 Legal exceptions. These Terms do not remove rights concerning unauthorized or duplicate charges, incorrect billing, nondelivery, material misrepresentation, legally required cancellation or withdrawal periods, defective or nonconforming services, or other mandatory remedies. Provider cancellations, therapy-related pauses, and termination are governed by Sections 5 and 11, subject to applicable law.
3.3 Digital access and disputes. Downloading, accessing, or using Content does not create a change-of-mind refund right and may provide evidence of delivery. It does not eliminate legitimate billing-error claims, fraud claims, chargeback rights, or mandatory consumer protections. Clients should report issues promptly to karynnelizabeth@gmail.com, without delaying any statutory or payment-provider deadline. The Provider may submit accurate purchase, access, download, attendance, and communication records to respond to a dispute. Knowingly false claims are prohibited, but a good-faith dispute is not automatically misconduct. These Terms do not authorize retaliatory credit reporting or a blanket prohibition on chargebacks.
3.4 Refunded purchases. Where a purchase is fully refunded or lawfully rescinded, the corresponding access and contractual license ordinarily end. Unless law or the refund agreement provides otherwise, the Client must cease using and delete copies of the refunded Content. Partial remedies affect only the relevant portion. Evidence reasonably needed for a legal claim may be retained as permitted by law.
4. INTELLECTUAL PROPERTY; PERSONAL USE AND CERTIFICATION
4.1 Ownership. Original Program materials, text, recordings, worksheets, journals, graphics, designs, course organization, software-related resources, and other supplied materials (“Content”) remain the property of the Provider or identified licensors. No ownership transfer occurs through purchase, download, or attendance. Intellectual property protection applies only to the extent recognized by law; these Terms do not assert exclusive ownership of general ideas, facts, public-domain material, or third-party work.
4.2 Personal license. Subject to these Terms, the Client receives a limited, nonexclusive, nontransferable, nonsublicensable license to access and use authorized Content for personal, self-led coaching and education. Copies may be downloaded or printed only where permitted by the platform and only for that personal use. Access credentials, materials, and recordings may not be shared, sold, redistributed, publicly uploaded, or supplied to another person.
4.3 Business use and teaching. SEARCH, DAE, DAE SEARCH, DROP STEP, NOW, 100 Fails, GmaSwin’s Happiness Recipes, and other Provider methods, formulas, tools, and curriculum may be used as personal, self-led coaching tools. Teaching, facilitating, offering, licensing, adapting, distributing, or otherwise using those proprietary tools or Content in a business, professional service, commercial product, client engagement, or certification requires active Energetic Creation Coach Certification and authorization under the applicable certification agreement. A course purchase, prior attendance, or inactive or expired certification does not confer those permissions.
4.4 Separate certification agreement. Certification renewal, fees, authorized teaching scope, conduct standards, suspension, revocation, and commercial licensing are governed by a separate certification agreement. Business-use permission exists only while certification remains active and the separate agreement is satisfied. Certification is a private coaching credential and does not confer a government-issued professional license or authority to practice therapy or another regulated profession.
4.5 Restrictions and requests. Unless separately authorized in writing, Clients may not copy Content into courses or AI training datasets, create competing derivative materials from protected Content, remove attribution, use Provider branding to imply endorsement, scrape platforms, or permit third-party access. Requests must be sent to karynnelizabeth@gmail.com before use. Nothing prohibits lawful quotation, fair use, honest reviews, or other nonwaivable rights.
4.6 Remedies. Unauthorized use may result in suspension or termination and lawful claims for damages or injunctive relief. Any award, bond requirement, or recovery of fees is determined under applicable law. No automatic five-times-fee charge or minimum contractual penalty applies.
5. COACH-CLIENT RELATIONSHIP; SESSIONS AND TEXT SUPPORT
5.1 Nature of coaching. Coaching is a collaborative educational process using communication, reflection, questions, and coaching tools. The Provider supplies the purchased coaching services based on information the Client provides. The Client retains responsibility for choices, participation, decisions, and application of the tools. No attorney-client, clinician-patient, fiduciary investment-adviser, or other regulated professional relationship is created.
5.2 Therapy distinction and referral. The Provider is a certified life coach, not a licensed therapist. No therapy, diagnosis, clinical treatment, crisis intervention, or treatment of mental or physical illness is provided. Clients must understand the difference between coaching and therapy and must not rely on coaching as a substitute for necessary licensed care. When the Provider believes therapy is needed, the Client may be directed to obtain licensed therapy in addition to or before coaching. The Provider may refuse admission or pause coaching until appropriate support is obtained. This acknowledgment does not transfer the Provider’s legal responsibilities to the Client.
5.3 No professional or emergency care. Business education, money discussions, wellness topics, and emotional processing tools do not constitute legal, tax, accounting, investment, medical, nutritional treatment, or mental health advice. Qualified professionals should be consulted for those matters. Services and messages are not emergency resources and are not continuously monitored. A person facing immediate danger should contact local emergency services or an appropriate crisis service.
5.4 Client participation. Clients must provide materially accurate information, attend scheduled services, communicate relevant needs, and take responsibility for their participation. Worksheets and assignments support learning; completing them does not guarantee any outcome. Clients may stop an activity that feels unsafe and obtain appropriate professional support.
5.5 Client cancellations and missed sessions. Booked sessions are not cancelable or reschedulable by the Client under these Terms. A Client-canceled or missed session is forfeited without refund, credit, or replacement, except where required by law. The former one-free-cancellation rule, forty-eight-hour rule, and half-session fee do not apply. The Client is responsible for checking the appointment’s displayed time zone, connection details, and scheduled date. Late arrival does not extend the booked session.
5.6 Provider cancellations. If the Provider cancels a session, the Client receives a replacement session or credit appropriate to the type of purchase, subject to any remedy required by law. A Provider cancellation is not treated as a Client no-show.
5.7 One-on-one and text access. One-on-one coaching access is limited to the booked day and session. Text coaching access is limited to the purchased week and included scope. Messages may be submitted at any time within that week; during the first session or onboarding, the Provider and Client agree on a response window. No universal twenty-four-hour response promise, continuous availability, or unlimited text support is provided. Program content access does not extend live or text service periods.
6. CLIENT CONDUCT; FORUMS AND SUBMISSIONS
Programs and Provider-operated communities are pitch-free unless the Provider expressly authorizes otherwise. Clients may not solicit participants, promote competing services, recruit into shadow groups, or organize Program-derived promotional events or meetups without approval. These restrictions concern use of the Program community and do not prohibit unrelated lawful activity.
Harassment, threats, discrimination, hate speech, abuse, deliberate disruption, fraud, unlawful content, malware, spam, impersonation, unauthorized scraping, credential sharing, or misuse of another person’s intellectual property or private information is prohibited. Posts must respect others’ boundaries and rights. Clients may not record, screenshot, publish, or redistribute private sessions, participant posts, or confidential materials without the required permissions.
Clients retain ownership of their original submissions and represent that they have authority to submit them. A limited license permits the Provider and authorized service providers to host, review, store, and use submissions to administer the Program. Public or marketing reuse is governed by Section 8, not by submission alone. Public posts may be visible to others; private Client files are not made public merely because submitted.
The Provider may moderate, remove, or restrict content and access, but does not promise to review every submission or endorse participant statements. The Provider may address violations differently according to circumstances, including granting a second opportunity. Disagreement with another participant’s lawful treatment does not itself entitle a Client to a refund. Nothing restricts truthful reviews, lawful complaints, regulatory reports, or legally protected speech.
7. COMMUNITY GUIDELINES AND OPTIONAL ELEMENTS
Participants must treat one another with respect, avoid discrimination, honor confidentiality, and respect personal boundaries. The Provider seeks a supportive environment but cannot guarantee another participant’s behavior or a particular emotional experience. Clients should report concerns promptly.
The Provider may offer optional bonus elements or opportunities to selected participants or subgroups. These do not form part of another purchase unless expressly included in its description. Denial of an unpromised bonus does not independently create a refund right. Additional community rules may govern platform behavior if communicated; they cannot silently reduce purchased services or mandatory legal rights.
8. CONFIDENTIALITY; RECORDING; MEDIA USE AND INTERNAL AI
8.1 Paid Client confidentiality. Paid sessions, nonpublic communications, and Client files are treated as confidential. Access is restricted to the Provider, authorized organizational personnel, and service providers reasonably necessary for administration, storage, communications, payment, or permitted internal processing. Client information is not sold as a customer list or data product. Coaching confidentiality is not the same as therapist-patient privilege. Disclosure may occur with appropriate authorization, for serious safety concerns, to meet legal duties or valid legal process, or to establish or defend legal rights, only to the extent reasonably necessary.
8.2 Paid recordings. Sessions may be recorded after advance notice and legally sufficient consent. Paid-session recordings are for internal use only unless the Client separately authorizes external sharing, marketing, or distribution outside these Terms. Paid Clients may decline recording, marketing use, or identifiable AI processing by written request to karynnelizabeth@gmail.com and may continue coaching. Requests should be made before the affected activity where practicable; required consent is not presumed from silence or failure to opt out. Future processing must respect valid withdrawal or refusal.
8.3 Free and unpaid online participation. The following applies to online sessions that are genuinely free or unpaid, whether private or public, rather than sessions included in a paid purchase. After advance, conspicuous notice and valid acceptance of the recording and media terms, participation authorizes recording and grants the Provider a broad, worldwide, nonexclusive, royalty-free license, without additional compensation, to use the authorized recording and contributions, name, voice, image, likeness, and voluntarily shared statements for education, Program content, publication, editing, excerpts, promotional material, advertising, and distribution in existing or future media, at the Provider’s discretion. Authorized personnel and production, hosting, and distribution providers may assist with those uses. The intended license is ongoing and has no contractual time limit, subject to applicable consent, privacy, publicity, minor-protection, and withdrawal rights.
8.4 Consent mechanism and limits. Recording and media consent is a condition of free participation; a person who declines cannot participate in that recorded free format. No separate paper release is required for adults where a valid electronic acknowledgment or other legally sufficient written consent is obtained as part of registration. Participation after notice confirms the accepted permission, but does not substitute for express or written consent required by law. Minors and Guardians must provide the authorization required by Section 1. These Terms do not authorize publication of unrelated private contact details, payment information, third-party confidential information, deceptive edits, fabricated testimonials, or unlawful sensitive-data use. Commercial use must remain within the valid consent obtained. Mandatory withdrawal or deletion rights prevail, and the Provider cannot guarantee removal of copies already lawfully distributed by third parties.
8.5 Internal AI. The Provider may select AI, transcription, summarization, organization, and similar processing tools for internal business use. No Client-facing AI coach is promised. Identifiable Client information and recordings may be processed only with the required notice, lawful basis, and consent, including separate explicit consent where required for sensitive information. Paid Clients may decline this processing in writing without losing coaching eligibility. Acceptance of general Terms is not blanket consent to undisclosed purposes, unrestricted third-party model training, or every future vendor. Tool changes remain subject to privacy duties, applicable safeguards, and any additional consent required by law. AI output may contain errors and does not constitute professional clinical advice.
8.6 Files and retention. Internal Client files and recordings are not a purchased deliverable, and Clients are not ordinarily given platform access to them. They are retained while the Provider determines they are reasonably needed for legitimate operational, legal, or recordkeeping purposes and deleted or de-identified when no longer needed, subject to applicable retention limits and obligations. Discretion does not override legally enforceable access, correction, deletion, or other privacy rights.
8.7 Groups and public formats. Other participants may hear information disclosed in groups; confidentiality cannot be guaranteed against another participant’s misconduct. Participants must preserve others’ confidentiality. Public formats are not private coaching environments. A screen name may be used where compatible with enrollment verification. The separate Privacy Policy supplies additional data-processing and cookie information; these Terms do not substitute for that notice or mandatory consent.
9. ACCOUNTS; SECURITY OF ACCESS AND PROGRAM LIFETIME
Clients must provide accurate registration information, use their enrollment email, safeguard credentials, and promptly report missing access or suspected misuse. Accounts and purchases are personal and may not be shared or transferred without authorization.
“Lifetime access” applies to the operational lifetime of the specific purchased online Program and all iterations or versions of that same Program, while the Provider continues to offer or host it and the account remains in good standing. It does not mean the Client’s lifetime, the Provider’s lifetime, every future separate offering, or ongoing live sessions or text coaching. Platform migration or a renamed iteration does not by itself remove access to the same continuing Program. If access is lost, the Client must request restoration in writing at karynnelizabeth@gmail.com with reasonable purchase-verification information.
The Provider does not promise advance notice or a download opportunity before permanent Program closure. Access ends when that specific Program and its iterations permanently cease to be offered or hosted. This provision does not permit deceptive lifetime claims, defeat expressly promised services, or remove mandatory consumer remedies. Lawfully downloaded materials remain subject to the personal-use license unless the purchase is refunded, rescinded, or the license is lawfully terminated.
10. LIVE AND IN-PERSON EDUCATIONAL EVENTS
Although purchases occur online, some educational services may be delivered live or in person. Participants must follow communicated safety rules, lawful staff directions, venue requirements, and appropriate conduct standards; respect people, property, and equipment; and comply with applicable law.
The Provider may remove a participant whose behavior endangers or materially disrupts others, subject to Section 11 and applicable law. Participation is voluntary; activities may be declined when inappropriate to the participant’s health or abilities. Emergency services may be contacted when reasonably necessary, subject to applicable consent requirements. This does not create authority to provide medical treatment or waive claims concerning emergency care. Alcohol, if permitted at an adult event, is limited to persons of legal drinking age. The Provider does not undertake custody of personal belongings, subject to duties imposed by law.
11. ADMISSION; PAUSE; TERMINATION AND WITHDRAWAL
11.1 Provider discretion. The Provider reserves the right to decline, suspend, or terminate coaching or access when appropriate, including for inappropriate behavior, conflicts of interest, legal or safety concerns, nonpayment, material breach, or an unsuitable coaching relationship. Immediate action may be taken where appropriate. Discretion must be exercised consistently with mandatory law and does not eliminate obligations concerning purchased but undelivered services.
11.2 Behavior or conflicts. For termination arising from inappropriate behavior or conflicts of interest, the Provider will determine the treatment of prepaid unused services according to the circumstances, which may include a refund, credit, or forfeiture only to the extent lawful. No discretionary decision overrides a required refund or other remedy. Any surviving installment obligation depends on the agreed contract, services and access supplied, reason for termination, and applicable law.
11.3 Therapy-related pause. If therapy is considered necessary first, coaching may be paused or discontinued pending appropriate support. Unused sessions remain eligible for resumption for one year from the Provider-communicated pause or termination date. Resumption requires the Provider’s approval that coaching is appropriate. After that period, unused sessions expire without contractual refund or credit except where required by law. No intrusive therapy records are required merely by these Terms; any necessary verification must be proportionate, lawful, and appropriately authorized.
11.4 Client withdrawal. A Client may stop participating, but withdrawal does not create a refund, release a lawful fixed-program installment obligation, or restore missed sessions. Month-to-month subscription cancellation remains available under Section 2. Statutory cancellation rights remain available.
11.5 Effect. Terminated access may be disabled. Intellectual property, confidentiality, lawful payment, dispute, and other obligations intended to survive continue as applicable. Therapy-related pause rights are preserved for their stated period. Legally required notices and remedies control.
12. PERSONAL RESPONSIBILITY; RESULTS; RISK AND LIABILITY
12.1 No promised results. No specific income, revenue, business growth, weight change, health improvement, emotional outcome, or other result is promised. Program names, numerical goals, examples, stories, or testimonials are educational or illustrative and are not guarantees. Outcomes vary and depend in part on the Client’s application, circumstances, participation, and factors outside the Provider’s control. No disclaimer permits misleading advertising.
12.2 Voluntary participation and risk. Coaching and education may involve reflection on difficult topics and ordinary risks associated with online or in-person participation. Clients are responsible for appropriate choices and seeking qualified support. To the extent lawful, Clients assume ordinary, disclosed inherent risks of voluntary activities, not risks arising from conduct or duties that cannot legally be waived.
12.3 Warranties. To the fullest extent permitted by law, general educational Content is provided “as is” and “as available,” without additional implied warranties of merchantability or fitness for a particular purpose. No promise of uninterrupted access or error-free Content is made. Express purchase commitments and mandatory quality, conformity, care, and consumer guarantees remain unaffected.
12.4 Liability limitations. To the extent enforceable, the Provider and authorized personnel are not liable for indirect, incidental, special, consequential, or punitive losses arising from the Program. Their aggregate liability for a claim connected with a purchased Program is limited to the amount paid for that affected Program. These limitations do not apply to fraud, willful misconduct, gross negligence, death or personal injury where exclusion is unlawful, nonwaivable privacy or consumer claims, or any liability that law prohibits limiting. No blanket release of all claims is created, and no minor’s nonwaivable rights are released.
12.5 Third parties. External products, services, links, platforms, and participant content are subject to their own terms. Their availability or endorsement is not guaranteed. Clients should evaluate outside services independently. This does not excuse the Provider’s own contractual duties or legally attributable acts.
13. SECURITY; COMMUNICATIONS AND TECHNOLOGY
Reasonable safeguards will be used for nonpublic information, but internet, email, text, videoconference, storage, and other electronic systems cannot be guaranteed completely secure. Clients should avoid sending unnecessary sensitive information or third-party confidential data.
Maintenance, outages, platform changes, or disruptions may affect availability. The Provider may use alternative delivery arrangements or restore access where appropriate. A technology disclaimer does not extinguish purchased service obligations or mandatory remedies. Service-related communications may be sent using supplied contact details; marketing consent and unsubscribe rights are governed separately and are not required solely to obtain purchased services.
14. GOVERNING LAW AND LEGAL DISPUTES
Subject to mandatory protections, these Terms are governed by Utah law, without applying conflict rules that would defeat nonwaivable rights. Where enforceable, disputes may be brought in the state courts located in Washington County, Utah, or the federal court having jurisdiction there. Consumers retain any mandatory right to local law, local courts, statutory dispute procedures, or regulatory complaints.
Parties should first seek practical resolution through karynnelizabeth@gmail.com where feasible. Doing so does not toll deadlines unless agreed in writing or required by law. No mandatory arbitration or class-action waiver is imposed by these Terms. Attorneys’ fees and costs may be recovered only where authorized by an enforceable agreement, statute, or court order. The former Delaware and Wilmington forum language is superseded.
15. INTERNATIONAL CLIENTS AND CONSUMER RIGHTS
Eligible Clients outside the United States may participate subject to lawful availability, age requirements, Guardian authorization where needed, and the Provider’s approval. The Client is responsible for lawful participation, accurate location and time-zone information, and any disclosed currency or transaction costs. The Provider remains responsible for legal duties applicable to offering services in the Client’s location.
A Utah choice-of-law clause, a download, or acceptance of these Terms does not remove mandatory local consumer or privacy rights. Where applicable to EU or UK consumers, distance-purchase withdrawal periods and required information will be honored. Early delivery of digital content requires the applicable prior express consent and acknowledgment of any loss of withdrawal rights; a coaching service beginning early may require a separate express request, and withdrawal rights are lost on full performance only when the legal conditions are satisfied. Applicable proportional charges and exceptions are determined by law, not automatically by purchase or attendance. Required cancellation instructions and confirmations must be supplied with the transaction.
Australian and other consumers retain any applicable nonexcludable guarantees and remedies. These Terms do not promise identical legal treatment in every country. Mandatory rights concerning minors, recordings, sensitive information, and international data handling prevail over inconsistent provisions.
16. INDEMNIFICATION
To the extent lawful, an adult Client or contracting Guardian is responsible for third-party claims and reasonable recoverable costs caused by that person’s unlawful acts, materially wrongful submissions, knowing infringement, or material breach of these Terms. The obligation applies only to the extent of that person’s responsibility and does not cover the Provider’s fraud, gross negligence, willful misconduct, breach of nonwaivable duties, or other liability that cannot lawfully be shifted. No automatic duty is imposed on a minor to pay the Provider’s legal expenses. Legal defense arrangements and settlement must respect applicable law and the responsible party’s rights.
17. EVENTS BEYOND REASONABLE CONTROL
Performance may be delayed by events beyond reasonable control, including severe weather, disaster, governmental restrictions, widespread outages, epidemic, or illness or incapacity that prevents delivery. Where practicable, the Provider will communicate relevant service disruption and propose an appropriate replacement, credit, pause, or other lawful arrangement. Provider-canceled sessions remain subject to Section 5. Force majeure does not permit indefinite retention of payment for undelivered services where law requires a refund or other remedy.
18. GENERAL PROVISIONS; UPDATES AND CONTACT
18.1 Agreement and priority. These Terms, the purchase-specific written description and confirmation, applicable consent records, and any separate signed agreement comprise the relevant agreement. A separate certification agreement governs certification-specific rights. An expressly agreed written exception controls its stated subject. Mandatory law controls all documents. Older inconsistent policies, emails, and website language do not expand or reduce new purchases governed by these Terms. These Terms do not retroactively extinguish vested rights from prior purchases.
18.2 Updates. Revised Terms may apply to future purchases and future participation after appropriate notice and acceptance. Material changes to an existing purchase, recurring charges, or consent-dependent uses require any notice and agreement required by law. Mere posting does not authorize retroactive deprivation of purchased rights.
18.3 Severability and waiver. If a provision is unenforceable, it is limited or severed only as necessary while the remaining lawful provisions continue. Failure to enforce a provision once does not waive future lawful enforcement. No unlawful provision is made enforceable simply by describing it as discretionary.
18.4 Electronic records. Lawful electronic acceptance and signatures may establish agreement. The Client and Guardian should retain the accepted Terms, purchase confirmation, and consent records. Recording or media permissions requiring affirmative written consent must be separately identifiable within the acceptance process, even when no separate document is used.
18.5 Contact.
